Change in Auditors
This is the most interesting point for me. On May 4, 2016, PIH announced that it would be changing its auditors from Davidson & Co. to PriceWaterhouseCoopers. Auditing tests the internal controls of a business and may help to uncover fraudulent practices (should they exist). However, it does not add a lot of value to the business itself. It is a valuable and necessary service to give the public confidence in the legitimacy of the financial statements and disclosures a company makes.
Davidson & Co. is a very well respected local Vancouver audit firm. It had been able to successfully handle PIH‘s growth and migration from the TSX Venture to the full TSX exchange over the last several years. This change in auditor tells me that PIH is planning for something bigger. In my prior career in public accounting, an auditor change to a larger firm often was a pre-cursor to an up-listing to a larger exchange. Institutions and larger investors want to see one of the larger, global accounting firms attesting to a company‘s statements, even if the actual quality of the service is likely somewhat similar (other than the size of the fees). With PIH making this move, it tells me it is preparing to make a move to co-list on an American exchange.
This would give substantially greater exposure for its shares. Even on Seeking Alpha, it is limited to myself and 27 others:

If PIH were to up-list, with the encompassing road show and investor interest, there is a much better chance of price discovery and a re-rating of the stock. This should more than offset the increased listing fees and compliance costs associated with an international listing.
With only 6.7m shares outstanding post-private placement, this also leads me to believe that a share offering would be forthcoming since promoting a share issue without any volume. PIH could easily clear out its debt load with a 1m share offering. Alternatively, it could bring in an acquisition of a complementary business to diversify a bit from the LED lighting trend.

事情就是很怪,所以最好的办法是完全对冲,不然就会上当,恐慌时卖掉,反弹时追高,两边打耳光。
